Direct Group Corporate Governance concept has been elaborated on the grounds of European Corporate Governance Standards and in compliance with Russian Corporate Governance mandatory rules. It is based on strict division of power and responsibilities between the shareholders (the annual general meeting), the board of directors, the executive management and the auditors.
Decisions and resolutions by Direct Group Corporate Governance Committees adopted within their competence are legally bound for the Group managers and employees.
Within the Corporate Governance System a set of performance measures (KPIs) has been identified, developed and implemented. The KPIs are used to monitor progress according to the objectives, enable better decision-making and carry out supervision and control at each operational level within every Direct Group's business. A set of different tools is also created for each business model and project: weekly meetings, precise agendas and next steps, short-term and long-term strategic documents for a perfect tracking and support of the development and the performance of the company on a regular basis.
